Terms and Conditions

1. Agreement

These Terms and Conditions (“Terms”) govern access to and use of FloSkills (the “Service”), operated by Dapatec LLC, a North Carolina limited liability company (“Dapatec”, “we”, “us”). They form an agreement between Dapatec and the organization or professional that registers for the Service (the “Customer”, “you”). A person who accepts these Terms on behalf of an organization confirms that they are authorized to bind it.

You accept these Terms by checking the acceptance box when you create an account or start a trial, or by signing an order that refers to them. We keep a record of the version you accepted and the date.

Candidates who take part in a hiring process through a link sent by a Customer are not Customers and are not bound by these Terms. Our Privacy Policy explains how we process their information.

2. Business use and eligibility

The Service is offered only for business and professional use, including by companies, recruiting agencies and independent recruiters acting in their professional capacity. It is not intended for personal, family or household use. You must be at least 18 years old and able to enter into a binding contract. Some features may not be available in every country.

3. The Service

FloSkills is a recruiting platform. Depending on the plan, it includes professional-profile search and import; role and candidate management; AI-assisted matching; AI phone screenings; technical interviews by phone, live video or pre-recorded video; hard- and soft-skill assessments and affinity scores; identity verification at the start of technical video interviews; sentiment insights; reports; and team workspaces with credits. The features of each plan are described on our pricing page and at checkout.

4. Accounts, workspaces and roles

You are responsible for keeping your credentials secure, choosing who joins your workspace and the activity under your account. Workspaces have Owner, Admin, Manager and Recruiter roles with different permissions. The Owner manages the subscription, payments and credit allocation. Belonging to several workspaces does not combine their ownership, billing or data. Tell us immediately if you suspect unauthorized access to your account.

5. Your responsibilities as a recruiter

You are responsible for your hiring processes and for complying with the laws that apply to them, including employment, anti-discrimination, accessibility, privacy, communications and recordkeeping laws. In particular, you must:

• have a valid legal basis to collect, import, contact, evaluate and keep candidate information, and give candidates the notices the law requires;
• obtain the consents the law requires before calls, recordings and identity verification, using the flows FloSkills provides or your own;
• set lawful, job-related and non-discriminatory requirements and criteria;
• offer reasonable accommodations or alternative assessments when the law requires, including to candidates who do not consent to AI interviews or biometric verification;
• review AI results with meaningful human oversight, and comply with local rules on automated employment decision tools and AI-analyzed video interviews where they apply;
• answer candidates’ requests about their data, with our help.

A profile being publicly visible, or available from a data provider, does not by itself make every use lawful. These responsibilities do not remove Dapatec’s own legal obligations.

6. AI features and their limits

• Scores: FloSkills generates evaluations, rankings and affinity scores from 0 to 100 that combine hard and soft skills, based on the criteria you set. They can be incomplete, inaccurate or biased.
• Automated stage changes: if you configure it, FloSkills can move candidates out of a stage automatically. You can review and restore any candidate. Hiring decisions are yours.
• Identity verification: face and voice comparisons are probabilistic signals, not proof of identity, and can produce false results. They never reject a candidate automatically.
• Sentiment insights: available on Premium Plus, they are estimates generated by a language model from interview transcripts. They are not clinical or psychological evaluations and do not detect lies.

You must not use AI results as the only basis for a decision that significantly affects a candidate, nor present them as proof that a candidate lied, has a health condition or is unfit for work.

7. Calls, recordings and consent

FloSkills sends invitations, schedules AI phone screenings after the candidate confirms interest and chooses a time, and runs live or pre-recorded video interviews. Before a call or video is recorded, and before identity verification, FloSkills shows the candidate the required information and asks for consent. You must not use the Service to contact people without a lawful basis or to make calls the law does not allow. We may restrict features in places where they cannot be offered lawfully.

8. Candidate records

Candidates you import or create are kept in your workspace and are not available to other Customers. Do not upload sensitive personal information unless it is necessary and you are authorized to do so. Suspending or ending your subscription does not end the obligation to answer candidates’ requests about their data.

9. Your content

You keep the rights you have in the resumes, documents, questions, notes, recordings and other materials that you or your candidates provide (“Customer Content”). Candidates keep their privacy and personal rights. You grant Dapatec a limited, non-exclusive license to host, copy, transmit, analyze and display Customer Content only to provide, secure and support the Service, comply with the law and carry out the processing you instruct. You confirm that you have the rights needed to provide Customer Content. We do not guarantee that AI-generated reports are protected by copyright or exclusive to you.

10. Our intellectual property

Dapatec and its licensors own the FloSkills software, interfaces, design, brand, models and technology. Subject to these Terms and to payment, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for your recruiting activities, including those you carry out for your clients, while your trial or subscription is active. No other rights are granted.

11. Acceptable use

You must not:

• break the law or infringe the rights of others;
• use discriminatory or unlawful selection criteria;
• upload information you are not authorized to use;
• impersonate others, harass candidates or obtain consent by deception;
• use biometric data, recordings or results for purposes other than the hiring process;
• use the Service to infer sensitive characteristics or emotions where the law prohibits it;
• bypass security, credit or usage controls, or probe vulnerabilities without permission;
• scrape the Service, extract other users’ data or interfere with its operation;
• resell accounts or credits without authorization;
• send spam or make unlawful automated calls.

We may investigate and suspend or restrict accounts that breach this section (section 19).

12. Plans, prices and taxes

Each plan includes the features, credits and limits shown on the pricing page and at checkout. Before you pay, we show the price, currency, billing period, taxes and renewal terms. Prices may change for new purchases; we will notify you of any change to an active subscription at least 30 days before it applies, and you may cancel before then. Prices do not include taxes unless stated; you pay the taxes that apply.

13. Free trial

• New eligible Customers can start a 14-day trial with 10,000 trial credits. One trial per organization.
• A valid payment method is required to start the trial.
• Before the trial starts, we show you the plan you selected, its price, the date of the first charge and how to cancel.

If you do not cancel before the trial ends, your selected plan starts automatically and we charge the payment method on file on that date, and every month after that until you cancel.

• You can cancel the trial at any time from your account. If you cancel before it ends, you will not be charged and you keep access until the end of the trial.
• If you use all your trial credits before day 14, features that consume credits stop working until the paid plan starts. Remaining days do not add credits.

14. Billing and renewal

Paid plans are billed monthly in advance and renew automatically every month until you cancel. Payments are processed by our payment processor. If a payment fails, the charge may be retried; if it still cannot be collected, we may restrict features that consume credits and, after notifying you, suspend or cancel the subscription.

15. Credits

• Each plan includes a monthly credit allowance. Monthly credits renew each billing cycle and do not roll over.
• You may buy additional credits under the conditions shown at purchase. Additional credits remain after the monthly reset, but can only be used while you have an active plan or trial.
• Credits are consumed by the actions you perform. The Owner can allocate credits and set limits for members.
• Credits have no cash value, are not refundable except as stated in section 18 and cannot be transferred outside your workspace.

16. Plan changes

Plans cannot be changed on a self-service basis. To change plans, write to legal@floskills.com; we will tell you the effective date and the price before making the change.

17. Cancellation

You can cancel your subscription at any time from your account. Cancellation takes effect at the end of the current billing period: you keep access until then and will not be charged again. After that, access to the workspace is blocked until you subscribe again. Your data is handled as described in section 20 and in our Privacy Policy.

18. Refunds

Fees are not refundable, including for partial months and unused credits, except in these cases:

• Billing errors: if we charge you by mistake, for example a duplicate charge, we refund the incorrect amount.
• Legal requirement: when the applicable law requires a refund.

To request a refund, write to legal@floskills.com within 30 days of the charge.

19. Suspension and termination

We may suspend or terminate access when needed to address a security risk, a material breach of these Terms, a legal requirement, a failed payment or serious misuse. When possible, we will notify you first and give you a reasonable opportunity to fix the issue; in urgent cases we may act immediately. You may terminate these Terms at any time by cancelling your subscription. Termination does not affect amounts already due.

20. Your data after cancellation or termination

After your subscription ends, we keep your workspace data for up to 2 years, so you can resume if you subscribe again, and then delete it. Candidate records and identity verification data follow their own shorter periods, described in our Privacy Policy. You can ask us to delete it earlier, or to send you a copy of your Customer Content, by writing to legal@floskills.com. Candidates can exercise their privacy rights at any time, regardless of the status of your subscription.

21. Availability and changes to the Service

We work to keep the Service available but do not guarantee that it will be uninterrupted or error-free, unless a separate signed service-level agreement says so. Maintenance, provider outages and network failures may affect it. We may change features to improve the Service, for security or to comply with the law; if a change materially reduces a paid feature, we will notify you in advance.

22. Third-party services

The Service relies on third-party providers, such as payment, professional-data, AI and infrastructure providers. Their outages or terms may affect specific features. You must comply with the restrictions that apply to their data and services. We remain responsible for our own legal obligations.

23. Confidentiality and security

Each party will protect the other’s confidential information with reasonable care and use it only for this agreement, except for information that is public, was lawfully obtained from others or must be disclosed by law. Security commitments beyond these Terms may be agreed in a separate signed agreement. Report suspected security incidents to legal@floskills.com.

24. Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available”. FloSkills is a recruiting tool; it does not provide legal, employment, medical or psychological advice. We do not guarantee a number of candidates, a successful hire, perfect matches, the accuracy of identity verification or AI results, unbiased results or any business outcome.

25. Limitation of liability

To the extent permitted by law:

• neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data;
• Dapatec’s total liability arising from these Terms is limited to the greater of the amounts you paid for the Service in the 12 months before the event that gave rise to the claim, or USD 100.

These limits do not apply to liability that cannot be limited by law, including liability for fraud, gross negligence or willful misconduct.

26. Indemnification

You will defend and indemnify Dapatec against third-party claims arising from Customer Content you provided unlawfully, processing you carried out without a valid legal basis or the required consent, or your use of the Service in breach of section 11, provided that we notify you promptly, cooperate reasonably and do not settle a claim that imposes obligations on you without your consent. This does not cover claims caused by Dapatec’s own unlawful conduct.

27. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-law rules and without limiting mandatory protections of the place where you are located. Before starting a legal claim, the parties will try to resolve the dispute in good faith for 30 days after one of them notifies the other in writing. Disputes that cannot be resolved this way will be decided by the state or federal courts located in Mecklenburg County, North Carolina. These Terms do not include an arbitration clause or a class-action waiver.

28. Changes to these Terms

We may update these Terms. We will notify active Customers of material changes by email or in the platform at least 30 days before they take effect. If you do not agree, you can cancel before the effective date. Changes do not apply retroactively.

29. General

• Entire agreement: these Terms, your order and our Privacy Policy are the entire agreement. A separate agreement signed with Dapatec prevails over these Terms for what it expressly covers.
• Severability: if a provision is unenforceable, the rest remains in effect.
• Assignment: you may not assign these Terms without our consent; we may assign them in a merger or sale of the business, with notice to you.
• No waiver: not enforcing a right does not waive it.
• Language: these Terms are available in English and Spanish. If you are located in Colombia, the Spanish version prevails; otherwise, the English version prevails.
• Notices: we send notices to the Owner’s email address. You send notices to legal@floskills.com.
